Distance Sales Agreement
This agreement applies to subscription, module and service orders placed on payments.u2aistudio.com and paid by bank transfer against our invoice. Sales by bank transfer are made to companies only. For card orders the seller is Polar Software, Inc. and Polar's buyer terms apply.
1. Parties
Seller: U2 AI Studio Teknoloji Anonim Şirketi (MERSIS 0883124471000001), Ahi Evran OSB Mah. Erkunt Cad. No: 3 İç Kapı No: 41, 06935 Sincan, Ankara, Türkiye, info@u2aistudio.com. Buyer: the company whose legal name, tax details, address and e-mail address are given in the order form: the details entered in the order form.
2. Subject
The subject of this agreement is the sale and performance of the software subscription, or the one-off module or service, ordered by the Buyer: the details chosen in the order form.
3. Price and payment
The price is in US dollars and excludes taxes; the total including taxes is shown on the pro forma invoice. For a Buyer resident in Türkiye the price is a fixed Turkish lira amount calculated at the CBRT forex selling rate of the pro forma date and written on the pro forma invoice; it is not indexed to a foreign currency. Payment is made by bank transfer to the account given on the pro forma invoice.
4. Conclusion of the agreement
Sending the order form is an offer to order. The agreement is concluded when the Buyer pays the amount on the pro forma invoice and takes effect on the day the payment reaches the Seller's account.
5. Performance
The Seller sends the access details of a subscription to the Buyer's e-mail address within two business days after the payment reaches its account; for one-off modules and services it writes to the Buyer within the same time to set the start and delivery schedule. Deliveries are online. If an on-premises installation is wanted, the installation work is invoiced separately by the AI DevOps man-hour.
6. Term, renewal and ending
The subscription runs for the chosen period. At the end of each period a pro forma invoice for the next period is sent; if it is not paid, the subscription ends at the end of the period. Either party can end the subscription from the end of a period by notice by e-mail. For one-off modules and services the agreement ends on delivery.
7. Cancellation and refunds
As the Buyer is a company, the consumer right of withdrawal does not apply. Refunds follow the Refund Policy: for subscription payments within 14 days of each payment; for one-off modules and services in full if cancelled before work starts, and once work has started for unused man-hours and modules not yet started. Delivered work is not refunded. Refunds are made to the account the payment came from.
8. Terms of Sale
The Terms of Sale are an integral part of this agreement. Where this agreement is silent, those Terms apply.
9. Personal data
The Buyer's personal data is processed under the Privacy Notice and the KVKK Notice.
10. Disputes
Turkish law applies to this agreement. The courts and enforcement offices of Ankara have jurisdiction.
11. Entry into force
In the order form the Buyer states that they have read the Pre-contract Information and accept this agreement. That statement is recorded with its time and IP address, and a copy of this agreement is sent to the Buyer's e-mail address when the order is placed.
